1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and TradesTalent Systems ("Company," "we," "us," or "our") regarding your use of our recruiting and hiring services for trades contractors.

By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access our services.

2. Description of Services

TradesTalent Systems provides comprehensive recruiting services specifically designed for trades contractors, including but not limited to:

  • Targeted recruitment advertising across multiple platforms
  • Application funnel creation and management
  • Candidate screening and qualification
  • Automated follow-up systems
  • Hiring pipeline management
  • Applicant tracking and reporting
  • Interview scheduling assistance
  • Onboarding support and retention strategies

3. Service Plans and Pricing

3.1 Monthly Service Fee

We only work with serious contractors. Plans start at $2,500 per month for companies that qualify, which includes:

  • $1,000 in advertising spend across various platforms
  • Full access to our recruiting platform and tools
  • Dedicated account management
  • Unlimited job postings for specified roles
  • Candidate screening and qualification services
  • Monthly performance reports

3.2 Payment Terms

Payment is due monthly in advance. We accept payment via credit card, ACH transfer, or check. Late payments may result in service suspension.

3.3 Additional Costs

Additional advertising spend beyond the included $1,000 may be requested and will be billed separately with prior client approval.

4. Performance Guarantee

4.1 Our Guarantee

We guarantee to deliver 3 or more qualified hires within 45 days of service commencement. If we fail to meet this guarantee, we will continue working at no additional monthly fee until the guarantee is fulfilled.

4.2 Qualified Hire Definition

A "qualified hire" is defined as a candidate who:

  • Meets the agreed-upon job requirements and qualifications
  • Passes your interview process
  • Accepts a job offer from your company
  • Shows up for their first day of work

4.3 Guarantee Conditions

This guarantee is contingent upon: (a) timely payment of fees, (b) reasonable response times to candidate inquiries (within 48 business hours), (c) competitive compensation packages as advised, and (d) active participation in the hiring process.

5. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your hiring needs
  • Respond to qualified candidates within 48 business hours
  • Maintain professional communication with all candidates
  • Provide feedback on candidates within a reasonable timeframe
  • Comply with all applicable employment laws and regulations
  • Maintain confidentiality of proprietary recruiting methods
  • Provide necessary access to company information for job postings
  • Honor employment offers made to candidates

6. Cancellation and Refund Policy

6.1 Cancellation

Either party may cancel services with 30 days' written notice. No long-term contracts are required.

6.2 Refunds

Monthly fees are non-refundable once services have commenced for that billing period. Unused advertising spend may be credited to the following month or refunded upon cancellation.

7. Intellectual Property Rights

7.1 Our Property

All recruiting materials, processes, systems, and methodologies developed by TradesTalent Systems remain our exclusive property. This includes but is not limited to advertising templates, screening processes, and proprietary software.

7.2 Client Content

You retain ownership of your company information, logos, and branding materials provided to us. You grant us a license to use these materials solely for providing our services.

8. Confidentiality

Both parties agree to maintain the confidentiality of:

  • Proprietary business information
  • Candidate personal information
  • Trade secrets and recruiting methodologies
  • Financial information
  • Strategic business plans

This obligation survives the termination of our service agreement.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADESTALENT SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits or revenue
  • Loss of business opportunity
  • Costs of hiring replacement personnel
  • Damages arising from candidate misconduct

Our total liability shall not exceed the amount of fees paid by you in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless TradesTalent Systems, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your breach of these Terms
  • Your violation of employment laws
  • Your hiring decisions and employment practices
  • Disputes with candidates or employees
  • Misrepresentation of job requirements or company information

11. Compliance with Laws

Both parties agree to comply with all applicable laws and regulations, including but not limited to:

  • Equal Employment Opportunity (EEO) laws
  • Fair Labor Standards Act (FLSA)
  • Americans with Disabilities Act (ADA)
  • State and local employment laws
  • Immigration laws and I-9 requirements
  • Data protection and privacy laws

12. Dispute Resolution

12.1 Good Faith Negotiation

The parties agree to first attempt to resolve any disputes through good faith negotiation.

12.2 Mediation

If negotiation fails, disputes shall be submitted to mediation before a mutually agreed mediator.

12.3 Governing Law

These Terms shall be governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes at least 30 days before they take effect. Continued use of our services after changes become effective constitutes acceptance of the revised terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms constitute the entire agreement between you and TradesTalent Systems regarding our services and supersede all prior agreements and understandings, whether written or oral.

17. Acceptance of Terms

By using our services, submitting a lead form, or engaging our recruiting services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
